Terms of Use for Floodlight Growth, LLC

These Terms of Use (“Terms”) govern your access to and use of this website (“Site”) and the services provided by Floodlight Growth, LLC (“Floodlight,” “we,” “our,” or “us”) through this Site. By accessing or using the Site, you agree to these Terms. If you do not agree, please do not use the Site.

For customers with executed Master Services Agreements (“MSA”) or Statements of Work (“SOW”) with Floodlight, the terms of the MSA and any SOWs take precedence over these Terms in the event of a conflict.

1. Website Use

1.1 Eligibility
By using the Site, you represent that you are at least 18 years old and legally able to enter into this agreement.

1.2 Permitted Use
You may use the Site for legitimate business purposes in connection with exploring or engaging Floodlight’s services. You agree not to:
• Violate applicable laws or regulations.
• Use the Site for fraudulent or harmful activities.
• Interfere with the Site’s operation or security.

1.3 Prohibited Conduct
You are prohibited from:
• Attempting to gain unauthorized access to any part of the Site.
• Transmitting viruses, malware, or other harmful code.
• Using automated systems (e.g., bots, scrapers) to access the Site.

2. Services
Floodlight provides Revenue Operations, Analytics, and Consulting services to customers as defined in specific Master Services Agreements (MSAs) and Statements of Work (SOWs). The availability of services described on the Site does not guarantee that such services will be provided unless agreed upon in an executed MSA or SOW.

3. Payment Terms
Customers cannot purchase services directly through the Site. Payment terms are defined in fully executed contracts. Payments are processed through Stripe, and you agree to comply with Stripe’s terms of service in addition to these Terms.

All prices are listed in U.S. dollars unless otherwise specified. Taxes, where applicable, are the responsibility of the customer. All sales are final. Services will be delivered according to the deliverables and terms in the Statement of Work. Unless otherwise noted in the Statement of Work, all services will commence on the Effective Date and continue until (a) the completion, termination, or expiration of all SOWs, and (b) either Party provides 90 days’ written notice of termination to the other Party.

4. Privacy Policy
We respect your privacy. Our Privacy Policy explains how we collect, use, and protect your personal information. By using the Site, you agree to the terms of the Privacy Policy.

5. Intellectual Property
All content on the Site, including text, graphics, logos, and software, is the property of Floodlight or its licensors and is protected by intellectual property laws. You may not reproduce, distribute, or create derivative works from any content without express written permission.

6. Limitation of Liability
To the maximum extent permitted by law:
Floodlight is not liable for any indirect, incidental, special, or consequential damages arising from your use of the Site.
Floodlight’s total liability for any claims related to your use of the Site is limited to $100.

7. Disclaimer of Warranties
The Site is provided “as is” and “as available.” Floodlight disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

8. Third-Party Services
Our Site may link to third-party services (e.g., Stripe). We are not responsible for their content, terms, or practices. You use these services at your own risk.

9. Modification and Termination
We may modify these Terms or discontinue the Site at any time. Changes to the Terms will be posted here and will apply prospectively.

10. Governing Law
These Terms are governed by the laws of the State of Colorado, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the courts located in Colorado.
